An arbitration agreement requires a judicial determination binding on the parties; where a clause provides for a decision by a named authority/expert without intent to arbitrate, it is expert determination, not arbitration.
Facts
Disputes within the Modi family over a Memorandum of Understanding for division of group companies were referred under the MoU to the Chairman of the IFCI/named persons whose decision was stated to be final and binding. One party challenged whether that mechanism amounted to arbitration. The character of the dispute-resolution clause had to be determined.

Applying these tests, the Court characterised the clause and clarified when a dispute-resolution clause crosses into arbitration.

Whether a clause is an arbitration agreement depends on substance, not nomenclature: there must be a formulated dispute referred for a final and binding judicial determination by a private tribunal after hearing the parties; a mere expert/valuation decision is not arbitration.
